Promoter Ticketing Agreement

Version 2.0 — effective September 1, 2026

This Promoter Ticketing Agreement (the "Agreement") is between Walka LLC, an Ohio limited liability company doing business as FighterTix ("FighterTix," "we," "us"), and the promoter, organization, or individual identified on the FighterTix account that accepts this Agreement ("Promoter," "you"). It takes effect the moment you accept it and applies to every event you create or edit on fightertix.com (the "Platform") while it is in effect.

The short version (the full terms below control): You list your event. Buyers pay you directly — ticket money goes straight into your own Stripe or PayPal account as tickets sell, and FighterTix never holds it. FighterTix adds a $4.00 per-ticket service fee that the buyer pays at checkout. Because that fee lands in your account, you owe it to FighterTix, and we bill it to the card you keep on file: $100 after each 25 tickets sold, with any remaining balance billed after your event. You handle refunds, cancellations, chargebacks, taxes, and getting every ticket holder through the door.

1. What FighterTix Is — and Is Not

1.1 Platform and sales agent. FighterTix provides the online ticketing platform and acts solely as your agent for the sale of tickets. FighterTix is not the promoter, producer, venue, or event provider, and is not a party to any transaction between you and a ticket buyer.

1.2 Not the merchant of record; no funds held. Buyer payments are processed through the payment account you designate under Section 4 and are deposited directly to that account. FighterTix does not receive, hold, escrow, or disburse ticket revenue at any time.

1.3 No guarantee of sales. FighterTix does not guarantee any number of ticket sales, attendance, or revenue.

2. Your Account

2.1 Authority. The person accepting this Agreement represents that they are at least 18 years old and have authority to bind the Promoter, and that all account, organization, and contact information is accurate and will be kept current.

2.2 Responsibility for the account. You are responsible for all activity under your account, including by fighters, ticket sellers, staff, or anyone you give access to. Keep your password confidential.

2.3 Review and locking. FighterTix reviews new accounts and events and may lock, suspend, or decline any account or event it reasonably believes is fraudulent, spam, or in violation of this Agreement, with or without notice.

3. Your Event and Your Responsibilities

3.1 Accurate listing. You are solely responsible for the accuracy of everything you post about the event: title, date, times, venue, seating, ticket types, prices, ticket quantities, fight card, age restrictions, and any other terms of admission. Buyers rely on it.

3.2 Right and ability to hold the event. You represent that you have, and will maintain, every license, permit, sanctioning-body approval, athletic-commission authorization, venue agreement, insurance, medical, and security arrangement required by law or by the venue to hold the event and sell admission to it.

3.3 Inventory. You must keep ticket quantities accurate and must not sell more tickets through the Platform than the venue and your permits allow. If tickets sell out or become unavailable, you must promptly update or close sales on the Platform. You are responsible for any refunds caused by overselling or failing to close sales.

3.4 Fight card changes. Changes to the fight card, bout order, or start times do not entitle buyers to a refund unless you choose to offer one, but you must update the listing promptly.

3.5 Compliance with law. You will comply with all laws that apply to promoting the event and selling tickets, including consumer-protection, ticketing, tax, and marketing laws.

4. Payment Processing and Payouts

4.1 Your payment account. Before tickets go on sale you must designate how buyers' payments are received: (a) by connecting your existing Stripe account; (b) by providing your PayPal account email; (c) by supplying your own Stripe API keys; or (d) by creating a new Stripe account through the Platform. Other processors may be offered from time to time.

4.2 Processor terms. Your relationship with Stripe, PayPal, or any other processor is governed by that processor's own terms. FighterTix is not responsible for processor fees, holds, reserves, payout delays, account restrictions, or closures, or for any funds in your processor account.

4.3 Card-processing fees. The processor charges its own fees (typically about 2.9% + $0.30 per transaction) to your account. FighterTix does not set or receive those fees. Where the Platform offers it, you may elect to add the processing fee to the buyer's checkout total instead of absorbing it; you are responsible for the accuracy of that election.

4.4 Accuracy of payout details. You are responsible for the accuracy of the Stripe, PayPal, or other details you provide. FighterTix is not liable for payments routed to an account you designated incorrectly.

5. FighterTix Service Fee

5.1 Amount. FighterTix charges a service fee of $4.00 per ticket sold through the Platform (for table or group tickets, $4.00 per seat). The fee is added on top of your ticket price and paid by the buyer at checkout. You receive the full face value of every ticket.

5.2 Collected into your account, owed to FighterTix. Because buyer payments are deposited directly to your payment account, the service fee is collected by you on FighterTix's behalf and is owed to FighterTix. You hold it in trust for FighterTix until it is paid.

5.3 How it is billed. (a) Card on file. FighterTix bills the service fee to the payment card you keep on file under Section 6: $100.00 after each 25 tickets sold, and any remaining balance after the event. Nothing is charged before tickets sell. (b) Connected Stripe. If you connected a Stripe account, the service fee may instead be deducted automatically from each sale at the time of the sale, in which case no card-on-file billing is needed for those sales. (c) FighterTix may change the billing cadence on notice; the per-ticket amount will not change for an event already on sale.

5.4 Which tickets carry the fee. The service fee applies to every paid ticket sold through the Platform, including tickets sold with a coupon or discount code and tickets sold by fighters or ticket sellers through their links. Complimentary ($0) tickets carry no service fee.

5.5 Refunded tickets. If a ticket sold through the Platform is refunded, the service fee for that ticket is credited back to you: if it has not yet been billed it is not billed, and if it has already been billed the credit is applied to your next bill or returned to your card. The amount refunded to the buyer comes out of your funds; if FighterTix processes a refund on your behalf, the refunded amount is chargeable to you under Section 7.6. Service fees on tickets lost to a chargeback remain payable.

5.6 Fee changes. FighterTix may change the service fee on at least 30 days' notice. The change applies to events created after the effective date.

6. Card on File

6.1 Requirement. Before your event goes live you must provide a valid credit or debit card, and you must keep a valid card on file for as long as you have any event on sale or any balance owed. Card details are stored by the payment processor, not by FighterTix.

6.2 Authorization. You expressly authorize FighterTix to charge that card, without further notice, for (a) service fees under Section 5; (b) any refund, chargeback, or other amount FighterTix pays or absorbs on your behalf under Section 7; and (c) any other amount you owe under this Agreement. This authorization continues until every amount owed is paid, even if you close your account or remove your events.

6.3 Failed charges. If a charge is declined, FighterTix may retry it, may pause ticket sales or unpublish your events until a valid card is provided and the balance is paid, and may bill the balance by invoice. Amounts unpaid 30 days after the charge attempt accrue interest at 1.5% per month (or the maximum lawful rate, if less), and you will reimburse FighterTix's reasonable costs of collection, including attorney's fees.

6.4 Statements. Sales and fee details are available to you on the Platform at any time and in the event recap sent after your event. Disputes about a charge must be raised within 30 days.

7. Refunds, Cancellations, Postponements, and Chargebacks

7.1 Your responsibility. Because ticket money is paid directly to you, all refunds are your responsibility, whether the event is cancelled, postponed, moved, changed, or a buyer requests a refund for any other reason. FighterTix has no obligation to refund any buyer.

7.2 Notice to FighterTix. You must notify FighterTix in writing (info@fightertix.com) within 24 hours if the event is cancelled, postponed, rescheduled, or moved to a different venue, so that buyers can be informed and sales stopped.

7.3 Cancellation. If the event is cancelled, you must refund each buyer the full amount paid (ticket price, service fee, and any taxes or processing fees charged to the buyer) within 10 days using the original payment method.

7.4 Postponement or venue change. If the event is postponed or moved, tickets remain valid for the new date or venue. You must offer a full refund to any buyer who requests one within a reasonable period after the announcement.

7.5 Other refunds. Your refund policy for other situations (buyer's change of mind, no-shows, fight-card changes) is your own, but must be applied consistently and lawfully.

7.6 Refunds issued by FighterTix. Where FighterTix has access to your processor account (for example, Stripe keys or a connected account), it may, at your request or, in the case of a cancelled event, at its discretion, issue refunds from your account on your behalf. Any refund, chargeback, fee, or loss that FighterTix pays or absorbs because of your event is reimbursable by you and may be charged to your card on file.

7.7 Chargebacks and fraud. Chargebacks and payment disputes are filed against your processor account and are your responsibility, including any processor dispute fees. FighterTix may cancel orders it reasonably believes are fraudulent. You are responsible for losses from fraudulent purchases accepted through your account.

7.8 Buyer claims. You will defend, indemnify, and hold FighterTix harmless from any claim by a ticket buyer arising from the event, its cancellation, postponement, or change, admission, or your refund decisions.

8. Ticket Delivery, Check-In, and Admission

8.1 Electronic tickets. Tickets sold through the Platform are delivered electronically (email and/or QR code, or as otherwise offered on the Platform). FighterTix may also make will-call and check-in lists available to you.

8.2 You must honor every ticket. You agree to admit every holder of a valid ticket sold through the Platform, on the terms shown at purchase (seat, table, section, or general admission). You are responsible for door staff, scanning or checking tickets, preventing duplicate use of a ticket, seating, and resolving admission issues at the venue.

8.3 Ejection and venue rules. Refusing admission or ejecting a buyer for conduct, venue rules, or age restrictions is your decision and your responsibility.

9. Taxes

9.1 You are solely responsible for determining, collecting, reporting, and remitting all sales, admission, amusement, entertainment, and other taxes on tickets sold to your event. Any tax collected at checkout through the Platform is collected by you, deposited to your payment account, and remitted by you.

9.2 FighterTix does not receive ticket revenue and therefore does not issue tax forms for it; your payment processor may.

10. Fighter and Ticket-Seller Links

10.1 The Platform can give fighters and other sellers you designate their own sales links, QR codes, and sales reporting. Any commission, purse credit, or incentive you offer them is an arrangement between you and them. FighterTix only tracks sales attributed to each link and is not responsible for paying, calculating, or disputing commissions.

10.2 You are responsible for the conduct of anyone selling on your behalf through the Platform.

11. Buyer Information and Marketing

11.1 Buyer data. FighterTix makes purchaser information for your events available to you. You may use it to operate the event and to communicate with those buyers about your events, and you will do so in compliance with applicable privacy, anti-spam (CAN-SPAM), and telemarketing (TCPA) laws. You will not sell buyer data.

11.2 FighterTix communications. FighterTix may email or text buyers about their orders, the event, and other events on the Platform, consistent with its Privacy Policy and SMS Terms.

11.3 Promotion; non-exclusive. FighterTix may list and promote your event on the Platform, in email, on social media, and in other channels. This Agreement is non-exclusive: you may sell tickets through any other channel, but every ticket sold through the Platform must be honored on equal terms with tickets sold elsewhere.

12. Content and Likeness Rights

12.1 License. You grant FighterTix a non-exclusive, royalty-free, worldwide license to use the event name, organization name, logos, images, fight card, fighter names, photos, and likenesses, and other content you or your fighters upload, to list, sell tickets to, and promote the event and the Platform, during and after the event.

12.2 You have the rights. You represent that you have permission from every fighter, photographer, sanctioning body, and other rights holder to use that content as described, and that it does not infringe anyone's rights or violate any law.

12.3 Removal. FighterTix may edit, resize, or remove content it considers infringing, inaccurate, offensive, or otherwise inappropriate.

13. Platform Rights and Availability

13.1 FighterTix may suspend, unpublish, or remove any event or account, or refuse any sale, if it reasonably believes this Agreement, the law, or a buyer's or processor's rights are being violated, or if a required item (verified email, payout method, card on file) is missing.

13.2 FighterTix may modify, add, or discontinue Platform features at any time and will use reasonable efforts to keep the Platform available, but does not guarantee uninterrupted or error-free service.

14. Term and Termination

14.1 This Agreement begins when you accept it and continues until terminated. Either party may terminate on written notice. FighterTix may terminate or suspend immediately for breach.

14.2 Termination does not affect events already on sale unless FighterTix elects to close them. Sections 5–7, 9, 12.1, and 15–18 survive termination, and all fees and amounts owed remain payable.

15. Disclaimer of Warranties

The Platform is provided "as is" and "as available." To the fullest extent permitted by law, FighterTix disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and any warranty regarding ticket sales volume, uptime, or the acts of buyers, processors, fighters, or venues.

16. Limitation of Liability

To the fullest extent permitted by law, FighterTix will not be liable for lost profits, lost ticket sales, or any indirect, incidental, consequential, special, or punitive damages arising out of this Agreement or the Platform, even if advised of the possibility. FighterTix's total liability for all claims arising out of this Agreement will not exceed the service fees you paid to FighterTix in the twelve months before the claim arose.

17. Indemnification

You will defend, indemnify, and hold harmless FighterTix, Walka LLC, and their owners, employees, and contractors from any claim, loss, liability, or expense (including reasonable attorney's fees) arising out of: the event; your listing or content; your breach of this Agreement or of any law; refunds, chargebacks, or buyer disputes; personal injury or property damage at the event; your fighters', sellers', or staff's conduct; or taxes on your ticket sales.

18. Governing Law and Disputes

This Agreement is governed by the laws of the State of Ohio without regard to its conflict-of-law rules. Any dispute arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in Ohio, and you consent to their jurisdiction and venue, except that FighterTix may bring an action to collect amounts owed in any court with jurisdiction over you. The prevailing party in any action to collect amounts owed under this Agreement is entitled to its reasonable attorney's fees and costs.

19. General

19.1 Electronic acceptance. Checking the acceptance box and submitting the form is your electronic signature and has the same effect as a handwritten signature. FighterTix records the date, time, account, IP address, and version of the terms you accepted.

19.2 Changes. FighterTix may update this Agreement. It will post the new version on the Platform and notify you by email or on your dashboard. Changes take effect for events created or edited after the effective date; continuing to use the Platform after that date is acceptance.

19.3 Relationship. The parties are independent contractors. Nothing creates a partnership, joint venture, or employment relationship.

19.4 Assignment. You may not assign this Agreement without FighterTix's written consent. FighterTix may assign it to a successor or affiliate.

19.5 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control (except payment obligations).

19.6 Notices. Notices to FighterTix go to info@fightertix.com. Notices to you go to the email on your account.

19.7 Entire agreement; order of precedence. This Agreement, the Privacy Policy, the SMS Terms, and the Platform's general Terms of Use are the entire agreement about ticketing. If they conflict, this Agreement controls for promoters. The Terms of Ticket Sale govern buyers.

19.8 Severability; waiver. If any provision is unenforceable, the rest remains in effect. A failure to enforce is not a waiver.
